Notice of Sales and Investment Solicitation Process re: Royal Helium Ltd., Imperial Helium Corp, and Royal Helium Exploration Limited.

On February 19, 2025, Royal Helium Ltd., Imperial Helium Corp., and Royal Helium Exploration Limited (collectively known as the “Company”, “Companies”, or “Royal Helium” ) were granted an initial order by the Court of King’s Bench of Alberta (the “Court”) under the Companies’ Creditors Arrangement Act (Canada) (the “CCAA”). Alvarez & Marsal Canada Inc. was appointed pursuant to the CCAA as monitor (the “Monitor”).

On February 19, 2025, the Court also approved a sales and investment solicitation process (the “SISP”) to solicit interest in, and opportunities for, a sale of or investment in, all or part of Royal Helium’s assets and business operations.

Royal Helium is an exploration, production, and infrastructure company with a primary focus on the development and production of helium. The Company controls approximately 564,000 acres of prospective helium lands through permits and leases across Saskatchewan and Alberta. Further, Royal Helium owns a state-of-the-art helium purification facility in Steveville, Alberta, however, the facility is currently non-operational.

Interested parties wishing to pursue the Opportunity are to submit a non-binding offer to the Monitor in accordance with the SISP, by the following deadline:

Bid Deadline: 5:00 p.m. Mountain Time on March 28, 2025
